Terms of Service

These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you", "your", or "User") and Parklife, Inc. ("Parklife", "we," "our," or "us"). By accessing or using https://parklife-inc.com (the "Website") or any Parklife web application that displays or links to these Terms (collectively with the Website, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Services.
Important: Certain Parklife Apps publish their own terms or policies. If a conflict exists between those App-specific terms and these Terms, the App-specific terms govern for that App.
1. Eligibility and Acceptance
- Minimum age. You must be at least 13 years old (or the age of digital consent in your jurisdiction, if higher) to use the Services. Some Apps may require a higher minimum age; please review the applicable App terms.
- Authority. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
- Acceptance. You accept these Terms when you (i) create an account, (ii) click an "I Agree" button or similar, or (iii) access or use any part of the Services.
2. Changes to the Terms
We may update these Terms at any time. Material changes will be posted on this page and, when required, we will give notice by email or within the Services. Continued use after the effective date constitutes acceptance of the revised Terms.
3. Accounts and Security
- Accuracy. You agree to provide true, current, and complete information and keep it updated.
- Credentials. Keep your login credentials confidential; you are responsible for all activity under your account.
- Account deletion. You may delete your account at any time through the relevant App. Residual information may remain in backup archives for a limited time (see Privacy Policy). Even after you delete an account, we may retain limited information as required by tax, anti-fraud, or other mandatory record-keeping laws (up to 10 years, depending on jurisdiction).
4. Fees, Subscriptions, and Refunds
- Paid features. Some Apps offer paid subscriptions or one-time purchases. Prices, billing cycles, and specific refund terms are described in the relevant App.
- Billing provider. Payments are processed by Stripe or Shopify Payments; payment details are handled by them, not Parklife.
- Refund policy. Except where the applicable App states otherwise—or where required by law—all payments are non-refundable. However, Parklife may, in its sole discretion, issue a refund in reasonable circumstances.
5. User-Generated Content ("UGC")
- License to Parklife. By posting, uploading, or transmitting UGC on the Services, you grant Parklife a worldwide, royalty-free, sublicensable, transferable license to use, host, reproduce, modify, publish, display, and distribute that UGC for the purpose of operating, improving, and promoting the Services.
- Your responsibility. You represent that you own or have the necessary rights to all UGC and that its posting does not violate any law or third-party rights.
- Takedown requests. Parklife responds to valid DMCA notices and similar takedown requests sent to hello@parklife‑inc.com.
6. Prohibited Conduct
You agree not to:
- Violate any applicable law or regulation;
- Infringe or misappropriate intellectual-property or privacy rights;
- Upload viruses, malware, or other harmful code;
- Reverse-engineer, decompile, or attempt to extract source code;
- Use automated scripts, bots, or scrapers except as expressly permitted;
- Interfere with security-related features or attempt to gain unauthorized access;
- Harass, threaten, or abuse others, or post obscene or hateful content.
7. Intellectual Property
All content and software on the Services (excluding UGC) is owned by Parklife or its licensors and is protected by copyright, trademark, and other laws. No rights are granted except as expressly provided in these Terms.
8. Third-Party Services
The Services may link to or integrate with third-party sites and services. Parklife is not responsible for these third parties; your use is subject to their terms.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PARKLIFE DISCLAIMS ALL WARRANTIES—EXPRESS, IMPLIED, OR STATUTORY—including MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that the Services will be uninterrupted, secure, or error-free.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARKLIFE AND ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR (i) INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR EXEMPLARY DAMAGES, OR (ii) TOTAL LIABILITY EXCEEDING US $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM—WHICHEVER IS GREATER.
11. Indemnification
You will defend, indemnify, and hold harmless Parklife and its affiliates from any claim arising out of or related to (i) your UGC, (ii) your breach of these Terms, or (iii) your violation of any law or third-
12. Dispute Resolution — Binding Arbitration & Class-Action Waiver
- Informal Resolution. Contact us first at hello@parklife-inc.com so we can try to resolve the dispute informally.
- Arbitration Agreement. If we cannot resolve the dispute within 60 days, either party may elect to have the dispute finally and exclusively resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
- Location & Law. Arbitration will occur in Wilmington, Delaware (or remotely, at the arbitrator's discretion) and will apply Delaware law.
- Class-Action Waiver. Disputes will be conducted only on an individual basis; class, consolidated, or representative actions are not permitted.
- Opt-Out. You may opt out of this arbitration agreement by sending written notice to the address in Section 15 within 30 days of first accepting these Terms.
13. Governing Law & Venue
These Terms and any non-arbitrable dispute are governed by and construed in accordance with the laws of the State of Delaware, excluding its conflicts-of-law rules. Subject to Section 12, the courts in New Castle County, Delaware, have exclusive jurisdiction.
14. Termination
Parklife may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful. Upon termination, your right to use the Services ceases immediately.

16. Miscellaneous
- Entire Agreement. These Terms constitute the entire agreement between you and Parklife regarding the Services.
- Severability. If any provision is held invalid, the remaining provisions remain in effect.
- Assignment. Parklife may assign these Terms without restriction; you may not assign them without our prior written consent.
- No Waiver. Our failure to enforce any provision is not a waiver of future enforcement.
